Terms & Conditions of Business

The terms used in this document shall mean:

Contractor: Lime Tree Property Services Ltd trading as Lime Tree Properties.

Client: the person or persons who have authorised the contract.

Contract: the contract created by the Client’s acceptance of an Estimate or Quote for services provided by the Contractor.

Estimate: an Estimate issued by the Contractor of the cost for the supply of specified Services.An estimate is a price calculated and offered to the best of the Contractors ability at the time; where either the scope of works or materials required may be subject to change according to actual time and materials used.

Quote: a Quote issued by the Contractor for the cost of the supply of specified Services.A quote is a fixed price offered by the contractor where the scope of works is set and agreed in advance. This price will not change regardless of any change in time or materials without prior agreement.

Materials: all Materials provided and supplied by the Contractor in relation to the Services. Ownership of the Materials shall at all times remain the exclusive property of the Contractor and will only pass to the Client upon payment of the Price.

Services: the Services provided by the Contractor as set out in the Estimate or Quote together with any other Services which the Company provides or agrees to provide to the Client.

Price: the Price for the provision of Services. The Price excludes Value Added Tax (VAT) and any other taxes or duties which may be charged at the rate or rates applicable at the date of the invoice from the Contractor to the Client. VAT will be charged on the total cost of the Services. The Contractor will have the right to adjust the Price for any increase in the price of materials, labour, transport, changes in work or delivery, schedules or quantities or any other cost of any kind arising from any reasons after the date of the Contract. The Price excludes the cost of testing and inspecting the Materials.

Acceptance of Estimate: no Contract will come into existence until the Client’s order (however given) is accepted by the Contractor. All orders given by the Client shall be deemed to be an acceptance of the Estimate or Quote pursuant to these terms and conditions. The Client’s standard terms and conditions (if any) attached to, enclosed with or referred to in any order shall not govern the Contract.

Expiry of Estimate/Quote: the Estimate or Quote is valid for 30 days from submission date, after which the Contractor reserves the right to withdraw the current Estimate or Quote and submit a revised version.

Additional Work: where additional work is requested outside the original Estimate or Quote, it will be charged at the current standard rate on a man hour basis unless otherwise agreed in writing.

Photography: We reserve the right to take any photographs of any job which we carry out as a matter of routine for the purposes of quality assurance and record keeping. From time to time, we may also use the images for marketing purposes; either print based or online. We may take photographs before, during and/or after our work has been carried out. We will only take photographs of the space(s) within in which we are conducting our work. No personal or property location details will be disclosed, in line with our Company Privacy Policy.

Contract and payment: the terms and conditions stated herein apply to all works conducted by the Contractor and payment terms for labour and Materials in respect of the work completed shall be 7 days upon receipt of invoice. For larger pieces of work, a payment plan and/or a separate Contract may be drafted for approval following acceptance of the Estimate or Quote. The terms and conditions of that Contract supersede those contained within this document. No variation or amendment to the Contract or oral promises or commitment relating to it will be valid unless it has been agreed and is in writing and has been signed by or on behalf of the Contractor.

Cancellation: we require 24 hours notice if scheduled work requires to be cancelled. If less than 24 hours notice of cancellation is given, then the Contractor reserves the right to levy a charge of 50% of the Estimated/Quoted price of the job.

Site Conditions: the Contract Price is based on site conditions remaining unchanged from those present during the Estimating/Quoting site visit. This includes physical access and free uninterrupted access once work is in progress. Furthermore this Estimate /Quote assumes that there will be access to water, electricity, ablutions as required (not always necessary).

Private Covenants: the investigation of private covenants shall not be the responsibility of the Contractor.

Underground Services: unless the exact location of underground pipes, wires or cables are clearly marked on site, or are detailed on a plan, prior to the formation of the Contract, the Contractor shall be under no liability for any damage through work performed under the Contract.

Guarantee of Works: our works are guaranteed for 12 months from the date of completion. Please note that this applies only to the work that we have undertaken and any direct snags. Should our work be damaged due to no fault of our own, this would not be covered under the guarantee, i.e. ceiling and paint work carried out by the Contractor is damaged due to a leak.

Cracks in the walls and ceiling due to the settling of the works and slight movement and temperature changes are not covered by the guarantee. Any Materials used by the Contractor in relation to the Services are guaranteed as per any relevant manufacturer’s warranty. No guarantee will be given on Materials if they are not supplied by the Contractor.

Insurance: the Contractor shall have in force a) Employer Liability Insurance and b) Public Liability Insurance for such sum and range of cover as the Contractor deems to be appropriate. All such insurances shall be extended to indemnify the Client against any claim for which the Contractor may be legally liable.

Damages & Protection of Private Property: it is the responsibility of the owner and/or tenants to move/remove and/or protect all personal and/or other property, equipment and/or items which may be damaged or effected by dust and/or moving of working equipment which may be required in order for the Contractor to carry out the agreed work. The Contractor cannot be held responsible for any damages and/or dust caused during agreed works being carried out.

Access to Property: it is the responsibility of the owner and/or tenant to ensure access to the property is provided as per the agreed date/s and time/s. Any costs incurred due to lack of access to the property will be charged to the Client.

Cleaning: please note that we will always conduct a basic clean following works; however this does not amount to a full domestic clean.

Limitation of Liability: the Contractor shall not be liable under any circumstances to the Client or any third party for any indirect or consequential loss of profit, consequential or other economic loss suffered by the Client however caused, as a result of any negligence, breach of contract, misrepresentation or otherwise. If the performance of the Services under the Contract is prevented or delayed by any act or omission of the Client, the Contractor will not be liable for any costs, damages or losses sustained or incurred by the Client arising directly or indirectly from such prevention or delay.

Force Majeure: the Contractor will not be liable for any delay or failure that the results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and the Contractor shall be entitled to a reasonable extension of its obligations.

Governing Law: these terms and conditions shall be governed by and construed in accordance with the law of England and the parties hereby submit to the exclusive jurisdiction of the English Courts.
